To the extent such Export Control Laws are applicable, ApparelTrak User represents and
warrants that it will comply fully with all such applicable Export Control Laws, including
any provisions relating to reporting or disclosure requirements.
Without limiting its other obligations specified herein, ApparelTrak User shall implement
procedures to ensure compliance with the Export Control Laws by its Authorized Users and
shall audit the effectiveness of such procedures and make improvements to address
any deficiencies.
ApparelTrak User acknowledges and agrees that it is solely responsible for obtaining
appropriate legal advice related to its compliance with the Export Control Laws and/or
the applicability of the Export Control Laws to any particular transaction, and that
Ecom and ApparelTrak have no responsibility or liability for the compliance of any
transaction executed over ApparelTrak.
ApparelTrak User acknowledges that ApparelTrak shall have the right to: (a) terminate
and/or suspend any transaction and/or the access of ApparelTrak User and its Authorized
Users with or without notice to ApparelTrak User and without incurring any liability in the
event Ecom believes ApparelTrak User has violated or may violate the Export Control Policy;
(b) report any violation or suspected violation to governmental authorities to which
notification is appropriate or may be required; or (c) pursue any additional rights and
remedies available at law or in equity. Ecom may amend the provisions of this Section in
its sole discretion in order to conform with U.S. and local country Laws.
